YoZombie, L.L.C.

By accessing or using the YoZombie platform ("YoZombie," "we," "us," or "our"), you agree to these Terms of Service ("Terms"), which govern your use of the YoZombie platform and related services (the “Platform”).

These Terms form a binding legal agreement between you, the “Business,” and YoZombie, L.L.C. They apply only to Businesses using the Platform to post or manage short-term contract work (“Gigs”). Workers who use the Platform to accept and complete gigs are governed by the separate YoZombie Terms of Service for Workers.

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, including any future modifications. If you do not agree, you must not use the Platform.

These Terms also describe what you can expect from YoZombie, what we expect from you, and the mutual responsibilities that allow the Platform to function fairly, securely, and in compliance with applicable law.

YoZombie, L.L.C. is organized under the laws of the State of Maryland and operates in accordance with U.S. federal and state regulations.

Important Notice: Nothing in these Terms creates an employment, agency, or partnership relationship between you, any Worker, and YoZombie.

2. Age Requirements

You must be at least 18 years old to create a Business account or use the YoZombie platform to post or manage gigs. By using YoZombie, you represent and warrant that you meet these requirements.

If you are accessing or using YoZombie on behalf of an organization, you represent that you are authorized to bind that entity to these Terms. The entity accepts full responsibility for your actions under this agreement.

3. Definitions

For clarity and consistency, the following definitions apply throughout these Terms of Service for Businesses. Each defined term is capitalized when used in this Agreement. These definitions are meant to ensure that both YoZombie, L.L.C. and the Business understand the terms governing their relationship and responsibilities when using the Platform.

These definitions apply equally to singular and plural forms and include all grammatical variations. Any term not expressly defined in this section shall be interpreted according to its ordinary meaning within the context of this Agreement.

Section 4: Relationship of the Parties

Independent Contractor Relationship
YoZombie operates solely as a neutral technology platform that connects Businesses with independent Workers for short-term, in-person gigs. Nothing in these Terms or in the use of the Platform shall be construed to create any relationship of employment, agency, partnership, or joint venture between YoZombie and any Business or Worker.

Each Business and Worker acknowledges and agrees that:

Separate Agreements
When a Business posts a gig and a Worker accepts it, a separate, direct contractual relationship is formed between the Business and that Worker. YoZombie is not a party to this contract and bears no responsibility for the performance, quality, timeliness, or outcome of any work performed under such agreements.

No Employment or Benefits
Workers engaged through the Platform are not entitled to employment benefits, workers’ compensation, unemployment insurance, or any other employee rights or privileges under local, state, or federal law. Businesses must comply with all applicable labor and tax obligations resulting from their engagement with Workers.

Taxes and Withholdings
YoZombie does not withhold or remit taxes on behalf of any Business or Worker. Each party is solely responsible for its own tax filings and payments as required by applicable law.

Acknowledgment
By using the Platform, you expressly acknowledge that YoZombie’s role is limited to facilitating introductions and payment processing via third-party providers, and that all employment, tax, and legal obligations rest with the contracting parties.

Section 5: Using the Platform (Gig Posting, Fees, Stripe Escrow)

Overview
YoZombie provides a digital platform that allows Businesses to post, manage, and pay for short-term, in-person work opportunities ("Gigs") that Workers may choose to accept. Businesses use the Platform to list available gigs, define the work scope, and process payments through third-party payment services.

Gig Posting Requirements
When posting a gig, you must:

You agree not to post any gigs that are unlawful, unsafe, discriminatory, or misleading.

Payment and Escrow through Stripe Connect
All gig payments are processed through Stripe Connect, a secure third-party payment processor. YoZombie does not directly handle or hold user funds.

Failed or Delayed Transfers
YoZombie is not liable for failed, delayed, or reversed transfers caused by third-party processors, financial institutions, or incorrect payment information. In the event of payment disputes, YoZombie reserves the right to temporarily hold or reverse funds until the issue is resolved.

Fraud and Policy Violations
YoZombie reserves the right to withhold, freeze, or reverse payments if fraudulent activity, policy violations, or disputes are suspected. Accounts found to be engaging in fraud or repeated abuse may be permanently suspended.

Platform Fees
Businesses pay a flat per-Worker fee based on the total gig pay:

Worker Pay Range

Platform Fee

$0–$99

$11

$100–$149

$13

$150–$249

$18

$250+

$24

Optional premium features—such as gig promotion, roster access, or enterprise billing—may incur additional fees, which will always be disclosed prior to purchase.

YoZombie may update platform fees from time to time with prior notice provided through the app or website.

Payment Confirmation and Records
Businesses receive digital receipts for all transactions. Payment confirmations, gig details, and payout status are viewable through the in-app dashboard. YoZombie retains transaction records for regulatory compliance.

Currency and Taxes
All payments are processed in U.S. Dollars (USD). YoZombie is not responsible for collecting or remitting taxes on behalf of Businesses or Workers. Stripe Connect may issue tax forms (such as 1099-K) where legally required. Each party remains solely responsible for reporting and paying applicable taxes.

Non-Circumvention
You agree not to engage Workers off-platform for active gigs or to circumvent YoZombie’s payment process. Repeated violations may result in account suspension or permanent removal from the Platform.

Section 6. Worker Classification

Independent Contractor Status

All Workers using the YoZombie platform are classified as independent contractors, not employees, agents, or representatives of either YoZombie or any Business using the platform.
YoZombie provides technology that connects Businesses with independent Workers for short-term gigs. YoZombie does not hire, manage, or supervise Workers, and does not control how work is performed.

No Employment Relationship

Workers are not employees of YoZombie or of any Business posting gigs. Accordingly:

Control of Work

Workers determine their own methods, tools, and schedules to complete gigs, subject only to the basic timing and scope described in the gig posting. Businesses may not impose control beyond legitimate coordination or safety requirements.

Right to Work for Others

Workers are free to perform services for any other company or client. There are no exclusivity requirements under these Terms.

Compliance and Classification

Businesses agree to treat all Workers as independent contractors and to comply with all applicable tax, labor, and employment classification laws. Misclassification is the sole responsibility of the Business.

Tax Responsibility

No Agency or Partnership

Nothing in these Terms creates a partnership, joint venture, franchise, or agency relationship between YoZombie, any Business, or any Worker. No party has authority to bind another.

Section 7. Posting & Payment Terms

Posting Gigs

Businesses must provide complete and truthful information when posting a gig, including the job description, location, timing, duration, required skills, and pay rate (hourly or fixed). Gigs that are misleading, unsafe, or unlawful may be removed at YoZombie’s discretion.

Pre-Payment Requirement

All gigs must be pre-paid in full through the YoZombie platform at the time of posting. The total payment consists of:

YoZombie and Stripe Connect verify that funds are available before a gig is listed as active.

Stripe Escrow and Payment Flow

All payments are processed through Stripe Connect (Express).

YoZombie does not hold, transfer, or manage Worker funds at any time.

Platform Fee Structure

Businesses pay a flat platform fee per Worker slot according to the following schedule:

$11

$100–$149

$13

$18

$250+

$24

There are no subscriptions, hidden markups, or ongoing obligations. Optional paid features such as boosted listings, trusted roster access, or enterprise billing may be offered separately.

Release of Funds

Once both parties confirm completion, Stripe Connect automatically releases funds. YoZombie is not responsible for any delays caused by Stripe, the Business’s bank, or the Worker’s financial institution.

Refunds and Processing Time

Refunds issued due to cancellations or disputes are processed through Stripe within 5–10 business days, depending on the financial institution. YoZombie does not control refund processing times or banking schedules.

Chargebacks and Disputes

All chargebacks are handled in accordance with Stripe’s Dispute Resolution Policy. YoZombie reserves the right to suspend or terminate any Business account engaging in:

YoZombie may retain an administrative fee to cover processing costs associated with chargebacks or disputes.

Taxes on Payments

Businesses are solely responsible for any sales tax, VAT, or local tax obligations applicable to their use of the platform or payments to Workers. YoZombie does not collect or remit such taxes unless required by law.

Payment Confirmation

Digital confirmation of gig completion in the YoZombie app constitutes final proof of service completion and triggers payment release.
Businesses agree that once funds are released by Stripe, the transaction is final and non-reversible, except as required by law or Stripe’s policies.

No Work Guarantee

YoZombie is a neutral technology platform and does not guarantee the performance, punctuality, skill, or availability of any Worker or Business. By posting or accepting a gig, both parties acknowledge that YoZombie’s sole role is to facilitate payment and communication through Stripe Connect.

Payment Errors

Any payment processing errors, failed transfers, or misapplied funds are handled directly by Stripe Connect under its Payment Terms and Dispute Resolution Policy. YoZombie is not liable for payment delays, errors, or misrouted deposits caused by third-party financial institutions.

Currency

All fees, payments, and refunds are processed in United States Dollars (USD) unless otherwise specified. Currency conversions, if any, are subject to the rates and policies of the User’s financial institution or Stripe.

8. Platform Fee Structure

8.1 Fee Overview
Each time a Business posts a gig through the YoZombie Platform, a Platform Fee is assessed in addition to the amount designated for Worker Pay.
The Platform Fee compensates YoZombie for access to its proprietary technology, maintenance of the Platform, and administrative and processing costs incurred through Stripe Connect Express.
This fee is charged per Worker slot and due at the time of posting.

8.2 Fee Tiers

Worker Pay Range

Platform Fee (per Worker)

$0 – $99

$11

$100 – $149

$13

$150 – $249

$18

$250 and above

$24

Example: If a Business posts a gig offering $85 in Worker Pay, the total charge will be $96 ($85 Worker Pay + $11 Platform Fee).

8.3 Timing of Charges
At the time of posting, Stripe Connect collects both the Worker Pay and the applicable Platform Fee.
Stripe holds the Worker Pay in escrow until both the Business and Worker confirm gig completion.
Upon confirmation, Stripe disburses Worker Pay directly to the Worker and transfers the Platform Fee to YoZombie.
YoZombie does not directly hold Worker funds and is not a payment processor.

8.4 What the Platform Fee Covers
The Platform Fee covers:

8.5 Taxes & Withholding
All Platform Fees are exclusive of taxes, duties, or government charges.
Businesses are solely responsible for determining and remitting any applicable taxes related to their use of the Platform or payments to Workers.
YoZombie does not withhold taxes or issue employment-related tax forms on behalf of either party.

8.6 Refund and Adjustment Policy
Platform Fees are non-refundable once a Worker accepts a gig, except where:

Refunds are processed automatically through Stripe Connect within 5–10 business days and returned to the original payment method.
Refunds exclude any Stripe fees or referral payouts already completed.

8.7 Changes to Fees
YoZombie may modify the Platform Fee structure at any time to reflect business, regulatory, or operational adjustments.
Any modifications will be communicated with 30 days’ notice via the Platform or email.
Continued use after such notice constitutes acceptance of the revised fee terms.

8.8 Transparency and Compliance
All fees are clearly displayed before payment submission.
YoZombie complies with all federal and Maryland laws governing price disclosure and electronic commerce.

9. Gig Cancellation Policy

9.1 Business-Initiated Cancellations
A Business may cancel a gig at any time prior to its scheduled start. The effect of cancellation depends on timing:

All refunds and late fees are processed securely through Stripe Connect.
YoZombie does not hold Worker funds and does not retain any portion of late-cancellation payments.

9.2 Worker-Initiated Cancellations
If a Worker cancels after accepting a gig:

9.3 YoZombie-Initiated Cancellations
YoZombie reserves the right to cancel any gig at its discretion if:

In such cases, YoZombie will issue a full refund to the Business unless the cancellation results from the Business’s misconduct or policy breach.

9.4 Refund Eligibility
Refunds apply only to funds not yet released to a Worker.
Once a gig is marked complete by both parties and payment is released through Stripe, all transactions are final and non-refundable.
Partial refunds may be considered at YoZombie’s sole discretion when a valid dispute is filed under Section 10 (Dispute Resolution).

9.5 Timing & Payment Effects
Refunds, where applicable, are processed within seven (7) business days to the original payment method.
Stripe’s processing time and issuing bank policies may affect when funds appear.
If a cancellation triggers a late-fee payment to a Worker, that payment is automatically disbursed through Stripe Connect within a reasonable timeframe following cancellation confirmation.

9.6 Force Majeure and Emergency Cancellations
YoZombie shall not be held liable for cancellations or payment delays resulting from events beyond its reasonable control, including but not limited to severe weather, natural disasters, system outages, or acts of government.
In such cases, YoZombie may, at its sole discretion, waive cancellation fees or provide credits.

9.7 Limitation of Liability
YoZombie acts solely as a neutral technology platform facilitating transactions between independent parties.
Except as required by law, YoZombie is not liable for any direct, indirect, or consequential damages arising from cancellations, rescheduling, or related payment issues.
All determinations made by YoZombie regarding cancellations, refunds, or policy enforcement shall be final and binding on all parties.

10. Gig Completion & Dispute Resolution

10.1 Confirmation of Completion
A gig is deemed complete when both the Business and the Worker confirm completion within the YoZombie app. Confirmation may occur through:

Upon completion, Stripe Connect releases the corresponding payments to the Worker and platform fees to YoZombie.
Once payments are released, they are considered final and non-refundable, except in cases later resolved through arbitration under Section 13 (Governing Law & Arbitration).

10.2 Dispute Initiation
Either the Business or the Worker may file a dispute if they believe the agreed terms were not met.
Disputes must be submitted within 48 hours of the scheduled completion time.
Valid reasons include, but are not limited to:

All disputes must be filed through the in-app dispute form.
Complaints made outside the Platform are not recognized under these Terms.

10.3 Evidence Submission & Review
Both parties must submit supporting evidence such as:

YoZombie will review all evidence impartially and may request clarification or additional documentation.
During review, associated funds remain on hold in Stripe Connect escrow until a determination is reached.
All evidence may be retained for a reasonable period for compliance and audit purposes.

10.4 Determination & Outcome
After evaluating the evidence, YoZombie will issue a determination in good faith, based on internal guidelines and fairness principles. Possible outcomes include:

YoZombie’s determination will be final and binding within the Platform, unless arbitration is initiated under Section 13 (Governing Law & Arbitration).
All decisions are made without prejudice to either party’s rights under applicable law.

10.5 Timing & Notification
YoZombie will make commercially reasonable efforts to finalize dispute resolutions within ten (10) business days of receiving complete evidence from both parties.
In complex cases, this period may be extended as reasonably necessary.
Both parties will be notified of the final decision through the app and via their registered email.

Once a determination is reached, funds are disbursed, refunded, or adjusted accordingly through Stripe Connect.
After finalization, the transaction is considered closed and may not be re-opened within the Platform.

10.6 Arbitration Clause Reference
If either party disputes YoZombie’s final determination, they may pursue binding arbitration as described in Section 13 (Governing Law & Arbitration).
Arbitration shall be the exclusive means of further dispute resolution, and YoZombie’s internal findings and evidence records may be submitted in such proceedings.

10.7 No Chargebacks
By using the Platform, you agree not to initiate chargebacks or payment reversals outside of the YoZombie dispute process.
Unauthorized chargebacks will result in account suspension and may be contested directly through Stripe.

11. Rating & Trust System

11.1 Overview

YoZombie operates a reputation-based “Trusted By” system to ensure accountability and transparency between Businesses and Workers.

After each completed gig, both parties must answer a single question:

“Would you work with this person again?”

This feedback builds a record of reliability and professionalism across the platform.

11.2 Business Ratings of Workers

After each completed gig, the Business will rate the Worker by selecting either “Yes” or “No.”

If a Worker receives ten (10) or more “No” responses, their account may be flagged for administrative review, suspension, or removal.

Businesses must provide honest, non-discriminatory ratings that reflect actual performance.

11.3 Worker Ratings of Businesses

Workers may also evaluate Businesses using the same question:

“Would you work with this Business again?”

YoZombie may restrict or suspend Business accounts demonstrating repeated patterns of misconduct.

11.4 Display & Data Retention

Publicly visible “Trusted By” counts (e.g., “Trusted by 12 Businesses”) appear on user profiles and reflect only positive (“Yes”) responses.

YoZombie retains anonymized rating data indefinitely for fraud prevention, analytics, and quality assurance.

Upon account deletion:

11.5 Prohibited Conduct & Manipulation

Users shall not manipulate, fabricate, or interfere with the YoZombie trust system. Prohibited actions include:

YoZombie may investigate, remove, or adjust any rating or feedback found to violate these Terms or constitute abuse of the trust system.

11.6 Platform Oversight

All feedback and ratings represent subjective user opinions, not verified factual statements.

YoZombie does not endorse or independently verify individual ratings.

To the fullest extent permitted by law, YoZombie shall not be liable for any damages, losses, or reputational harm resulting from user-generated feedback.

YoZombie retains sole discretion to remove or anonymize content deemed false, defamatory, discriminatory, or inconsistent with platform policy.

12.1 Data Collection & Purpose
YoZombie collects only the information necessary to operate, improve, and secure the Platform.

12.5 Data Sharing & Legal Disclosure
YoZombie may disclose limited information when legally required to do so—such as through subpoena, court order, or law enforcement request.
We may share minimal operational data with third-party service providers (e.g., hosting, analytics, or fraud-prevention tools) under confidentiality and data-processing agreements.
All such partners must process data consistent with these Terms and applicable laws.

12.6 Breach Notification
In the event of a data breach that compromises user information, YoZombie will notify affected users within the time period required by applicable law and take all commercially reasonable steps to mitigate potential harm.

12.7 User Rights & Data Requests
Users may request access to, correction of, or deletion of their personal data by contacting support@yozombie.com.

YoZombie complies with all applicable data protection laws, including the California Consumer Privacy Act (CCPA) and the principles of the General Data Protection Regulation (GDPR), as applicable to U.S. operations.

12.10 Limitation of Liability
While YoZombie takes reasonable measures to secure user data, no system is entirely immune from unauthorized access or breaches.
To the fullest extent permitted by law, YoZombie disclaims liability for any damages arising from unauthorized access, loss, or alteration of user data unless caused by YoZombie’s gross negligence or willful misconduct.

13. Account Deletion

13.1 Right to Request Deletion
Businesses may request deletion of their YoZombie account at any time through the in-app settings or by emailing support@yozombie.com.
Requests must originate from the verified account email and may require identity confirmation to prevent unauthorized deletions.

Account deletion is final and cannot be undone. To use the Platform again, a new registration must be completed and verified.

13.5 Retention & Compliance Framework (Finalized)
YoZombie retains only the minimal identifying and transactional data required to operate the Platform and comply with:

Retained data may include basic identifiers (e.g., name, business entity name, email address, transaction reference ID) that are necessary to verify past transactions, process payments, resolve disputes, and maintain trust and safety integrity.
All retained data is encrypted, access-restricted, and automatically purged once legal or operational retention periods expire.

The arbitrator’s award shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

These Terms, together with any referenced policies (including the Privacy Policy, Stripe Connect Terms, and any additional platform guidelines), constitute the entire agreement between YoZombie and the Business concerning the use of the Platform.
All prior or contemporaneous oral or written communications, understandings, or agreements are hereby superseded. Any terms proposed by the Business that are inconsistent with these Terms shall be void and of no effect.
