YoZombie Terms of Service for Businesses

1. Service Provider & Introduction

YoZombie is provided by, and you’re contracting with:

By accessing or using the YoZombie platform ("YoZombie," "we," "us," or "our"), you agree to these Terms of Service ("Terms"), which govern your use of the YoZombie platform and related services (the “Platform”).

These Terms form a binding legal agreement between you, the “Business,” and YoZombie, L.L.C. They apply only to Businesses using the Platform to post or manage short-term contract work (“Gigs”). Workers who use the Platform to accept and complete gigs are governed by the separate YoZombie Terms of Service for Workers.

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, including any future modifications. If you do not agree, you must not use the Platform.

These Terms also describe what you can expect from YoZombie, what we expect from you, and the mutual responsibilities that allow the Platform to function fairly, securely, and in compliance with applicable law.

YoZombie, L.L.C. is organized under the laws of the State of Maryland and operates in accordance with U.S. federal and state regulations.

Important Notice: Nothing in these Terms creates an employment, agency, or partnership relationship between you, any Worker, and YoZombie.


2. Age Requirements

You must be at least 18 years old to create a Business account or use the YoZombie platform to post or manage gigs. By using YoZombie, you represent and warrant that you meet these requirements.

If you are accessing or using YoZombie on behalf of an organization, you represent that you are authorized to bind that entity to these Terms. The entity accepts full responsibility for your actions under this agreement.



3. Definitions

For clarity and consistency, the following definitions apply throughout these Terms of Service for Businesses (the “Agreement”). Each defined term is capitalized when used in this Agreement. These definitions are intended to ensure that both YoZombie, L.L.C. (“YoZombie”) and the Business understand the terms governing their relationship and responsibilities when using the Platform.

“Business” means any individual, company, organization, or other legal entity that registers for a Business account and uses the Platform to post, manage, book, or pay for Gigs.

“Worker” means any independent contractor or individual who accepts and completes Gigs posted by a Business through the Platform. Workers are not employees, agents, representatives, or partners of YoZombie. A Worker is not an employee, agent, or representative of a Business unless the Business and Worker separately agree in writing outside the Platform.

“Gig” means a short-term, temporary, or on-demand work opportunity created by a Business through the Platform and accepted by one or more Workers. A Gig may include duties such as event setup, deliveries, general labor, customer service, or other defined tasks.

“Marketplace” means the Platform’s marketplace functionality that enables Businesses and Workers to find each other and enter into separate service arrangements directly. YoZombie provides the Marketplace and related technology tools, but is not a party to any service arrangement between a Business and a Worker.

“Platform” or “YoZombie Platform” means YoZombie’s proprietary software, mobile application, website, and related technology systems, features, and services used to operate the Marketplace.

“Platform Fee” means the flat fee charged by YoZombie per Worker slot or per Gig, as disclosed at the time of posting, booking, or payment. Platform Fees are retained by YoZombie for providing and operating the Platform and Marketplace and do not constitute wages or compensation to Workers.

“Stripe Connect” means the third-party payment processing services integrated into the Platform that facilitate payment authorization, payment holds (if applicable), refunds (if applicable), and disbursements/payouts between Businesses, Workers, and YoZombie. YoZombie does not act as a bank, money transmitter, or escrow agent and does not take custody of funds as part of the Stripe Connect payment flow. Use of Stripe Connect is governed by Stripe’s own terms and privacy policy.

“User Content” means any data, text, graphics, photos, video, audio, feedback, reviews, ratings, or other materials uploaded, submitted, transmitted, or otherwise provided by a Business or Worker through the Platform, whether publicly posted or privately transmitted.

“Account” means the registered Business profile created to access and use the Platform, which may include Business name, contact details, payment credentials, and transaction history.

“You” or “Your” means the Business or the Business’s authorized representative accessing or using the Platform under this Agreement.

These definitions apply equally to singular and plural forms and include all grammatical variations. Any term not expressly defined in this section will be interpreted according to its ordinary meaning in the context of this Agreement.





4. Contents



Section 5: Relationship of the Parties

5.1 Independent Contractor Relationship
YoZombie operates solely as a neutral technology platform that connects Businesses with independent Workers for short-term, in-person gigs. Nothing in these Terms or in the use of the Platform shall be construed to create any relationship of employment, agency, partnership, or joint venture between YoZombie and any Business or Worker.

Each Business and Worker acknowledges and agrees that:

5.2 Separate Agreements
When a Business posts a gig and a Worker accepts it, a separate, direct contractual relationship is formed between the Business and that Worker. YoZombie is not a party to this contract and bears no responsibility for the performance, quality, timeliness, or outcome of any work performed under such agreements.

5.3 No Employment or Benefits
Workers engaged through the Platform are not entitled to employment benefits, workers’ compensation, unemployment insurance, or any other employee rights or privileges under local, state, or federal law. Businesses must comply with all applicable labor and tax obligations resulting from their engagement with Workers.

5.4 Taxes and Withholdings
YoZombie does not withhold or remit taxes on behalf of any Business or Worker. Each party is solely responsible for its own tax filings and payments as required by applicable law.

5.5 Acknowledgment
By using the Platform, you expressly acknowledge that YoZombie’s role is limited to facilitating introductions and payment processing via third-party providers, and that all employment, tax, and legal obligations rest with the contracting parties.



Section 6: Using the Platform (Gig Posting, Fees, Stripe Payments)

6.1 Overview

YoZombie provides a digital marketplace platform that allows Businesses to post and manage short-term, in-person work opportunities (“Gigs”) that independent Workers may choose to accept. Businesses use the Platform to define the Gig scope and requirements, communicate with Workers, and facilitate payments through Stripe Connect (a third-party payment processor).

6.2 Gig Posting Requirements

When posting a Gig, you must provide accurate, complete, and non-misleading information, including:

YoZombie may remove or restrict any Gig listing that violates these Terms or applicable law.

6.3 Pre-Payment Requirement

Unless expressly stated otherwise in writing by YoZombie, all Gigs must be paid in full through the Platform at the time of posting (or at the time the Gig becomes active, as applicable). The total amount charged to the Business may include:

6.4 Payments Through Stripe Connect (Authorization, Hold, and Release)

All Gig payments are processed through Stripe Connect. YoZombie does not act as a bank, money transmitter, or escrow agent, and YoZombie does not take custody of funds.

For each Gig, the Business authorizes Stripe to charge the total amount due. Stripe may (depending on Stripe’s policies and risk controls) place all or part of the payment in an authorization, pending, or “hold” state (or otherwise restrict availability) until the Gig is completed, cancelled, disputed, or otherwise resolved under these Terms.

Completion and release. When the Gig is marked complete through the Platform’s completion flow in accordance with these Terms, Stripe will initiate:

Timing. Payout timing varies and is controlled by Stripe and financial institutions. Any time estimates shown in the Platform are informational only and not guaranteed.

6.5 Platform Fees

Businesses pay a flat Platform Fee per Worker slot based on the listed pay per Worker for the Gig, as disclosed prior to payment submission:

Optional premium features (such as Gig promotion, roster tools, or enterprise billing) may carry additional fees. Any additional fees will be disclosed before purchase.

YoZombie may update fees from time to time. If fees change, YoZombie will provide notice through the Platform (or by email where required), and updated fees will apply to Gigs posted after the effective date of the change.

6.6 Payment Confirmations and Records

Businesses can view receipts, Gig details, and payment status in the in-app dashboard. YoZombie may retain transaction and Gig records as needed for operations, fraud prevention, dispute handling, legal compliance, and tax/accounting obligations.

6.7 Failed, Delayed, or Reversed Payments

YoZombie is not responsible for delays, failures, charge reversals, or payout interruptions caused by Stripe, banks, card networks, incorrect account details, insufficient funds, chargebacks, compliance reviews, identity verification, or risk controls.

If a payment issue arises (including disputes, suspected fraud, or policy violations), YoZombie may take Platform actions such as pausing completion, restricting account access, pausing related Gig activity, or requesting additional information. Where permitted by Stripe and applicable law, YoZombie may also initiate or request adjustments consistent with Stripe’s policies and these Terms.

6.8 Chargebacks, Disputes, and Administrative Actions

Chargebacks and payment disputes are handled in accordance with Stripe’s applicable terms and dispute resolution processes. YoZombie may suspend or terminate any Business account engaging in excessive, abusive, or fraudulent chargebacks or misuse of the dispute process.

Where permitted by applicable law and Stripe’s policies, YoZombie may apply or retain an administrative fee to cover processing costs associated with chargebacks or dispute handling, and will disclose such fees in the Platform or applicable policy documentation.

6.9 Refunds

Refunds, if applicable under these Terms (for example, due to eligible cancellations, verified technical errors, or other outcomes defined by the Platform), are processed through Stripe and returned to the original payment method in accordance with Stripe and financial institution processing timelines. YoZombie does not control refund processing times.

6.10 Currency and Taxes

All payments are processed in U.S. Dollars (USD). Each party is solely responsible for determining and meeting its own tax obligations. YoZombie does not provide tax advice and does not collect or remit taxes on behalf of Businesses or Workers unless explicitly stated in writing.

Stripe (or another payment entity) may issue tax forms or other tax documentation where legally required.

6.11 Non-Circumvention (Active Gigs and Payment Bypass)

You agree not to bypass the Platform to avoid Platform Fees or move payment off-platform for any Gig that was posted, accepted, or performed through YoZombie (“Active Gig”). This includes attempting to:

YoZombie may suspend or terminate accounts for repeated or material non-circumvention violations.

6.12 Fraud, Abuse, and Policy Violations

YoZombie may suspend, limit, or terminate access to the Platform and may restrict Gig posting or completion where YoZombie reasonably suspects fraud, repeated abuse, or policy violations. YoZombie may report suspected fraudulent or unlawful conduct to appropriate authorities and cooperate with payment processors as needed.




Section 7. Worker Classification

7.1 Independent Contractor Status

All Workers using the YoZombie platform are classified as independent contractors, not employees, agents, or representatives of either YoZombie or any Business using the platform.
YoZombie provides technology that connects Businesses with independent Workers for short-term gigs. YoZombie does not hire, manage, or supervise Workers, and does not control how work is performed.

7.2 No Employment Relationship

Workers are not employees of YoZombie or of any Business posting gigs. Accordingly:

7.3 Control of Work

Workers determine their own methods, tools, and schedules to complete gigs, subject only to the basic timing and scope described in the gig posting. Businesses may not impose control beyond legitimate coordination or safety requirements.

7.4 Right to Work for Others

Workers are free to perform services for any other company or client. There are no exclusivity requirements under these Terms.

7.5 Compliance and Classification

Businesses agree to treat all Workers as independent contractors and to comply with all applicable tax, labor, and employment classification laws. Misclassification is the sole responsibility of the Business.

7.6 Tax Responsibility

7.7 No Agency or Partnership

Nothing in these Terms creates a partnership, joint venture, franchise, or agency relationship between YoZombie, any Business, or any Worker. No party has authority to bind another.




8. Cancellations, Completion, Refunds, and Disputes

8.1 Cancellation and Completion Framework

YoZombie is a neutral marketplace platform. Businesses and Workers use the Platform to coordinate Gigs, confirm outcomes, and facilitate payments through Stripe Connect. YoZombie does not act as a bank, money transmitter, or escrow agent and does not take custody of funds.

For clarity:

8.2 Business-Initiated Cancellations

A Business may cancel a Gig at any time prior to its scheduled start time. The effect of cancellation depends on timing and whether a Worker has accepted the Gig slot.

A) Before a Worker accepts a Gig slot

B) After a Worker accepts a Gig slot

All refunds and standby credits are processed through Stripe Connect. YoZombie does not take custody of funds and does not retain any portion of standby credits.

8.3 Worker-Initiated Cancellations

If a Worker cancels after accepting a Gig slot:

Repeated, abusive, or last-minute Worker cancellations may result in Platform restrictions, suspension, or removal.

8.4 Worker No-Show / Failure to Check In

A Worker is considered a No-Show if the Worker does not arrive and complete the Platform’s check-in requirement within the check-in window displayed in the Platform for that Gig (including QR check-in where enabled).

If a Worker is a No-Show:

YoZombie may apply account penalties for repeated No-Shows.

8.5 YoZombie-Initiated Cancellations

YoZombie may cancel a Gig (in whole or in part) if:

In such cases, YoZombie will initiate refunds of unreleased funds unless:

8.6 When a Gig Is Considered “Complete”

A Gig is deemed complete when completion is confirmed through the in-app completion flow in the YoZombie app. Completion may occur through:

Upon completion, Stripe Connect initiates payout of the corresponding compensation to the Worker and remits the applicable Platform Fee to YoZombie, subject to Stripe’s policies, processing timelines, identity verification, risk reviews, compliance controls, and any applicable holds.

8.7 Refund Eligibility and Finality

Refund eligibility. Refunds (if any) apply only to funds not yet released through Stripe to a Worker, except as required by law or permitted by Stripe’s policies.

Finality after release. Once a Gig is marked complete through the Platform and Stripe has released funds, the transaction is final and non-refundable within the Platform, except:

Partial refunds. Partial refunds may be considered in appropriate cases where a valid dispute is filed under Section 8.8, based on the information available and subject to Stripe’s policies and applicable law.

8.8 Dispute Initiation (48-Hour Window)

Either the Business or the Worker may file a dispute if they reasonably believe the agreed terms were not met.

Disputes must be submitted through the in-app dispute form within forty-eight (48) hours of the scheduled Gig end time (or other completion time shown in the Platform). If a dispute is not submitted within this window, the Platform may proceed with automatic completion and payment release.

Valid dispute reasons include, but are not limited to:

Parties agree to use the in-app dispute process for Platform resolution to enable timely review and accurate records. Communications outside the Platform may not be visible to YoZombie and may limit YoZombie’s ability to investigate, but do not limit any rights a party may have under applicable law.

8.9 Evidence Submission and Review

Both parties must submit supporting evidence, which may include:

YoZombie will review evidence in good faith and may request clarification or additional documentation.

During review, Stripe may keep related funds in a held or restricted state (or otherwise limit availability) until the dispute is resolved under these Terms and Stripe’s policies.

YoZombie may retain dispute records and evidence for a reasonable period for operations, compliance, audit, fraud prevention, and legal purposes.

8.10 Determination and Outcomes

After evaluating the information available, YoZombie will issue a determination in good faith based on Platform records and internal guidelines intended to promote consistent outcomes.

Possible outcomes include:

YoZombie’s determination is final for Platform resolution purposes, unless corrected due to error, fraud, or newly available evidence, or unless a party pursues arbitration as described in Section 14.

All decisions are made without prejudice to either party’s rights under applicable law.

8.11 Timing and Notification

YoZombie will make commercially reasonable efforts to finalize dispute resolutions within ten (10) business days after receiving reasonably complete evidence from both parties. Complex cases may take longer as reasonably necessary.

Both parties will be notified of the decision through the app and via their registered email.

Any refunds, payouts, standby credits, or adjustments (if applicable) will be initiated through Stripe Connect, subject to Stripe’s processing timelines and applicable policies.

8.12 Chargebacks and Payment Reversals

You agree to attempt to resolve payment disputes through the YoZombie dispute process before initiating a chargeback or other payment reversal.

If a chargeback is initiated:

Repeated, abusive, or bad-faith chargebacks (including chargebacks that contradict clear in-app records) may result in account suspension or termination.

8.13 Force Majeure and Emergency Cancellations

YoZombie is not liable for cancellations, inability to perform, or payment delays resulting from events beyond its reasonable control (including severe weather, natural disasters, system outages, or acts of government). In such cases, YoZombie may waive certain cancellation fees or provide credits where appropriate, subject to Stripe’s policies and applicable law.

8.14 Limitation of Liability (Cancellations and Disputes)

YoZombie acts solely as a neutral technology platform facilitating transactions between independent parties. Except as required by law, YoZombie is not liable for damages arising from cancellations, rescheduling, dispute outcomes, or related payment issues.

YoZombie will apply these rules in good faith based on information available through the Platform. Determinations may be reviewed or corrected in cases of error, fraud, or newly available evidence, and do not limit any rights required by applicable law, Section 14 (Arbitration), or other mandatory legal protections.



9. Rating & Trust System

9.1 Overview

YoZombie operates a reputation-based “Trusted By” system to ensure accountability and transparency between Businesses and Workers.

After each completed gig, both parties must answer a single question:

“Would you work with this person again?”

This feedback builds a record of reliability and professionalism across the platform.

9.2 Business Ratings of Workers

After each completed gig, the Business will rate the Worker by selecting either “Yes” or “No.”

If a Worker receives ten (10) or more “No” responses, their account may be flagged for administrative review, suspension, or removal.

Businesses must provide honest, non-discriminatory ratings that reflect actual performance.

9.3 Worker Ratings of Businesses

Workers may also evaluate Businesses using the same question:

“Would you work with this Business again?”

YoZombie may restrict or suspend Business accounts demonstrating repeated patterns of misconduct.

9.4 Display & Data Retention

Publicly visible “Trusted By” counts (e.g., “Trusted by 12 Businesses”) appear on user profiles and reflect only positive (“Yes”) responses.

YoZombie retains anonymized rating data indefinitely for fraud prevention, analytics, and quality assurance.

Upon account deletion:

9.5 Prohibited Conduct & Manipulation

Users shall not manipulate, fabricate, or interfere with the YoZombie trust system. Prohibited actions include:

YoZombie may investigate, remove, or adjust any rating or feedback found to violate these Terms or constitute abuse of the trust system.

9.6 Platform Oversight

All feedback and ratings represent subjective user opinions, not verified factual statements.

YoZombie does not endorse or independently verify individual ratings.

To the fullest extent permitted by law, YoZombie shall not be liable for any damages, losses, or reputational harm resulting from user-generated feedback.

YoZombie retains sole discretion to remove or anonymize content deemed false, defamatory, discriminatory, or inconsistent with platform policy.



10. Privacy & Data Use

10.1 Data Collection & Purpose
YoZombie collects only the information necessary to operate, improve, and secure the Platform.
This includes, but is not limited to:

All information is used strictly for platform functionality, payment facilitation, dispute resolution, compliance, and performance analysis.
YoZombie does not sell or rent personal data to third parties under any circumstances.

10.2 Payment Information
All payment processing, banking details, and tax-related data are handled exclusively by Stripe Connect.

YoZombie never directly stores or has access to full card numbers, bank routing details, or taxpayer identification numbers.

Stripe’s systems are PCI-DSS compliant and responsible for safeguarding payment credentials and issuing any required tax documentation where legally required.

10.3 Data Hosting & Security
YoZombie operates on Firebase (Google Cloud Platform) for authentication, database, and hosting services.
All user data is stored using industry-standard encryption and secured by Google Cloud’s advanced access controls.
YoZombie maintains administrative, technical, and physical safeguards to prevent unauthorized access, disclosure, or destruction of user data.
Access to user data within YoZombie is strictly limited to authorized personnel bound by confidentiality obligations.

10.4 Communication & Messaging
All contact between Businesses and Workers occurs through the in-app messaging system.
Direct exchange of personal phone numbers or emails outside the Platform is prohibited.
Messages are encrypted in transit and archived for dispute resolution and operational integrity.
YoZombie does not monitor or edit message content, except as required to investigate policy or legal violations.

10.5 Data Sharing & Legal Disclosure
YoZombie may disclose limited information when legally required to do so—such as through subpoena, court order, or law enforcement request.
We may share minimal operational data with third-party service providers (e.g., hosting, analytics, or fraud-prevention tools) under confidentiality and data-processing agreements.
All such partners must process data consistent with these Terms and applicable laws.

10.6 Breach Notification
In the event of a data breach that compromises user information, YoZombie will notify affected users within the time period required by applicable law and take all commercially reasonable steps to mitigate potential harm.

10.7 User Rights & Data Requests
Users may request access to, correction of, or deletion of their personal data by contacting support@yozombie.com.
Deletion requests may be denied if data must be retained for:

YoZombie retains user data only as long as necessary to provide services, comply with legal obligations, and enforce agreements.
Inactive or deleted accounts are anonymized or permanently deleted in accordance with internal retention schedules and Firebase/Stripe data policies.

10.9 Cross-Border Transfers & Compliance
Data may be stored or processed on servers located in the United States or other jurisdictions.
YoZombie complies with all applicable data protection laws, including the California Consumer Privacy Act (CCPA) and the principles of the General Data Protection Regulation (GDPR), as applicable to U.S. operations.

10.10 Limitation of Liability
While YoZombie takes reasonable measures to secure user data, no system is entirely immune from unauthorized access or breaches.
To the fullest extent permitted by law, YoZombie disclaims liability for any damages arising from unauthorized access, loss, or alteration of user data unless caused by YoZombie’s gross negligence or willful misconduct.



11. Account Deletion

11.1 Right to Request Deletion
Businesses may request deletion of their YoZombie account at any time through the in-app settings or by emailing support@yozombie.com.
Requests must originate from the verified account email and may require identity confirmation to prevent unauthorized deletions.

11.2 Legal & Operational Limitations
For legal and operational reasons, YoZombie may delay or deny deletion until the following conditions are satisfied:

YoZombie will notify the account holder if deletion is temporarily restricted and explain the reason for delay.

11.3 Consequences of Deletion
Once deletion is processed:

11.4 Irreversible Nature of Deletion
Account deletion is final and cannot be undone. To use the Platform again, a new registration must be completed and verified.

11.5 Retention & Compliance Framework
Retention & Compliance Framework. YoZombie retains only the minimal identifying, operational, and transactional information reasonably necessary to operate the Platform; complete transactions; prevent fraud and abuse; resolve disputes; enforce the Terms; and comply with applicable legal, tax, and record-keeping obligations. Payment and identity information processed through Stripe Connect is subject to Stripe’s policies and compliance requirements. YoZombie deletes or anonymizes information when it is no longer needed for lawful business purposes or required retention, subject to backups, audit logging, and legal holds. Where feasible, YoZombie uses data minimization and de-identification/anonymization to reduce the amount of information retained and the time it is retained.



12. Prohibited Uses

You agree not to use the YoZombie Platform, Services, or related systems in any manner that:

Any attempt to reverse-engineer, copy, or commercially exploit YoZombie’s proprietary code, algorithms, or user databases is strictly prohibited.
YoZombie reserves the right to employ automated monitoring and human review to detect and block prohibited behaviors.

12.5 Platform Monitoring and Limitation of Review

YoZombie does not undertake to monitor all activity on the Platform and assumes no liability for user conduct or posted content, though it reserves the right to investigate or take action at its discretion when potential violations, fraud, or safety concerns are identified.

12.6 Consequences of Violation

Violations of this Section may result in immediate:

YoZombie reserves the right to determine, in its sole discretion, whether conduct violates these restrictions. All enforcement decisions are final.



13. Liability & Indemnification

13.1 No Employment Relationship
YoZombie is a technology platform that facilitates connections between independent Businesses and independent Workers.
YoZombie is not a party to any service contract between a Business and a Worker, and does not supervise, direct, or control any work performed.
Accordingly, YoZombie will not be liable for any actions, omissions, or representations made by Workers or Businesses, or for any disputes, losses, injuries, or damages arising out of engagements initiated through the Platform.

13.2 Platform “As Is” Disclaimer
To the fullest extent permitted by applicable law, YoZombie provides the Platform and Services “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise.
This includes, but is not limited to, warranties of merchantability, fitness for a particular purpose, title, accuracy, or non-infringement.
YoZombie makes no representation that:

13.3 Limitation of Liability
To the maximum extent permitted by law:
YoZombie’s total cumulative liability for any claims arising out of or relating to these Terms, the Platform, or any transaction between users shall not exceed the greater of (1) one hundred dollars ($100 USD) or (2) the total Platform Fees paid by the Business to YoZombie within the preceding twelve (12) months.
YoZombie shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunities.
These limitations apply regardless of the legal theory asserted, even if YoZombie has been advised of the possibility of such damages.

13.4 Indemnification by Business
To the fullest extent permitted by law, the Business agrees to defend, indemnify, and hold harmless YoZombie, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or related to:

YoZombie reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by the Business, in which case the Business agrees to cooperate fully in such defense.

13.5 Survival
The obligations set forth in this Section shall survive termination, suspension, or expiration of these Terms or the Business’s account, and continue in full force to the extent necessary to resolve any pending disputes or claims.



14. Governing Law & Arbitration

14.1 Governing Law

These Terms and any dispute, claim, or controversy arising out of or relating to them—including the interpretation, breach, termination, enforcement, or validity thereof—shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict-of-laws principles.

For purposes of administration and venue, the parties agree that YoZombie is based in Anne Arundel County, Maryland, and that Platform administration and certain Platform activities may occur there. Nothing in this subsection limits where a Business or Worker may be physically located when using the Platform.

14.2 Required Informal Resolution (Notice to YoZombie)

Before initiating arbitration against YoZombie, the Business agrees to provide YoZombie with written notice of the dispute and a reasonable opportunity to resolve it informally. The notice must include: (i) the Business’s name and account email, (ii) a description of the dispute, and (iii) the relief requested.

If the dispute is not resolved within thirty (30) days after YoZombie receives notice, either party may initiate arbitration as described below.

For disputes related to a Gig (including alleged non-performance or payment outcomes), the Business agrees to also use the Platform’s in-app dispute process described in Section 8 within the required dispute window. Use of the in-app dispute process helps create an accurate record but does not waive any rights that cannot be waived under applicable law.

14.3 Agreement to Binding Arbitration

Except where prohibited by law, and except for the small claims exception in Section 14.6 and the equitable relief provision in Section 14.7, all disputes, claims, or controversies arising out of or relating to these Terms, the Platform, or any relationship between the Business and YoZombie shall be resolved exclusively through binding arbitration.

Arbitration will be administered by the American Arbitration Association (AAA) under its applicable rules then in effect. Unless the parties agree otherwise, arbitration will be conducted in Anne Arundel County, Maryland, provided that the arbitrator may permit remote or virtual proceedings where appropriate.

BY AGREEING TO THESE TERMS, YOU WAIVE YOUR RIGHT TO A TRIAL BY JURY AND AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

14.4 Arbitration Procedure and Fees

Arbitration shall be conducted by a single neutral arbitrator mutually agreed upon by the parties or, if no agreement is reached, appointed under AAA rules.

Each party shall bear its own attorneys’ fees and costs, except that the arbitrator may award fees and costs as permitted by applicable law and the AAA rules.

The arbitrator’s award shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

14.5 Class Action Waiver

All claims must be brought in the parties’ individual capacities and not as a plaintiff or class member in any class, collective, or representative proceeding.

No arbitration or proceeding shall be combined with another without the consent of all parties, including YoZombie.

If a court or arbitrator determines that any portion of this class action waiver is unenforceable for a particular claim or request for relief, then that claim or request for relief must be brought in a court of competent jurisdiction (and not in arbitration) and shall be stayed pending the outcome of arbitration on the remaining claims.

14.6 Small Claims Exception

Nothing in this Section prevents either party from bringing an individual claim in small claims court in Anne Arundel County, Maryland, where the amount in controversy is within the court’s jurisdictional limits and the claim remains in small claims court.

14.7 Equitable Relief

Notwithstanding the foregoing, YoZombie may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights, enforce non-circumvention obligations, or prevent unauthorized access to or use of the Platform.

14.8 Survival

This Section shall survive termination of the Business’s account and continue to govern any disputes that arise after such termination.




15. Updates to Terms

15.1 Right to Modify
YoZombie reserves the right to update, modify, or replace any part of these Terms at any time to reflect changes in business operations, technology, law, or regulatory obligations. Any such updates will take effect 30 days after notice is provided to Businesses through the Platform, by email, or other reasonable communication methods.

15.2 Notification of Changes
YoZombie will post all updates within the Platform and mark them with a “Last Updated” date. Significant changes that affect rights or obligations will be accompanied by direct notice, such as a pop-up prompt or in-app banner requiring acknowledgment.

15.3 Continued Use Constitutes Acceptance
Continued use of the Platform after the effective date of an updated version of these Terms constitutes your acceptance of the revised Terms. If you do not agree to the updates, you must cease using the Platform and may delete your account as described in Section 11 (Account Deletion).

15.4 Regulatory Compliance Updates
YoZombie may implement updates immediately if required by law, regulation, or government directive. In such cases, notice will still be provided as soon as reasonably practicable.

15.5 Historical Recordkeeping
For transparency and compliance, YoZombie maintains a historical record of all prior versions of these Terms for a minimum of two (2) years. Upon written request, Businesses may obtain a copy of any previous version applicable to their use of the Platform during a specific period.



16. Force Majeure

16.1 Definition
YoZombie shall not be liable or deemed in default for any failure or delay in performing its obligations under these Terms when such failure or delay results from circumstances beyond its reasonable control, including but not limited to:

During a Force Majeure event:

16.3 Notification
YoZombie will notify Businesses through the Platform or via email as soon as reasonably possible after becoming aware of a Force Majeure event that materially impacts platform operations or payment processing.

16.4 Limitation
Nothing in this Section shall excuse or delay payment obligations already incurred prior to the occurrence of the Force Majeure event. All payments processed through Stripe remain governed by Stripe’s operational and regulatory frameworks.



17. Severability, Waiver, Entire Agreement & Electronic Consent

17.1 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable. If modification is not possible, the provision shall be deemed severed, and the remaining provisions shall continue in full force and effect.

17.2 No Waiver
Failure or delay by YoZombie in exercising any right, remedy, or power under these Terms shall not operate as a waiver thereof. Any waiver must be in writing and signed by an authorized representative of YoZombie to be effective.

17.3 Entire Agreement
These Terms, together with any referenced policies (including the Privacy Policy, Stripe Connect Terms, and any additional platform guidelines), constitute the entire agreement between YoZombie and the Business concerning the use of the Platform.
All prior or contemporaneous oral or written communications, understandings, or agreements are hereby superseded. Any terms proposed by the Business that are inconsistent with these Terms shall be void and of no effect.

17.4 Assignment
You may not assign, transfer, or sublicense your rights or obligations under these Terms without YoZombie’s prior written consent. YoZombie may freely assign these Terms or any rights hereunder to an affiliate, successor, or acquirer of the business.

17.5 Electronic Consent & Communications
By using the YoZombie Platform, you consent to conduct transactions and communications electronically. Notices, agreements, disclosures, and other communications sent electronically shall satisfy any legal requirement that such communications be in writing.
You agree that clicking “I Agree,” creating an account, or continuing to use the Platform constitutes your electronic signature and consent to these Terms under the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and Maryland Uniform Electronic Transactions Act (Md. Code, Commercial Law §21-101 et seq.).

17.6 Survival
All provisions of these Terms that by their nature should survive termination—including indemnification, limitations of liability, governing law, arbitration, and this Section—shall survive termination of your account or use of the Platform.
