YoZombie Terms of Service for Workers

1. Service Provider & Introduction
YoZombie is provided by, and you’re contracting with:
YoZombie, L.L.C.

Organized under the laws of the State of Maryland, United States of America.
By accessing or using the YoZombie platform ("YoZombie," "we," "us," or "our"), you agree to these Terms of Service ("Terms"), which govern your use of the YoZombie platform and related services (the “Platform”).
These Terms form a binding legal agreement between you, the Worker (also referred to as “Contractor” or “Gig Worker”), and YoZombie, L.L.C. They apply only to individuals using the Platform to accept, perform, and complete short-term contract work (“Gigs”). Businesses that post or manage Gigs are governed by the separate YoZombie Terms of Service for Businesses.
By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, including any future modifications. If you do not agree, you must not use the Platform.
These Terms describe what you can expect from YoZombie, what we expect from you, and the mutual responsibilities that allow the Platform to function fairly, securely, and in compliance with applicable law.
YoZombie, L.L.C. is organized under the laws of the State of Maryland and operates in accordance with U.S. federal and state regulations.
Important Notice: Nothing in these Terms creates an employment, agency, or partnership relationship between you, any Business, and YoZombie. All Workers using the Platform do so as independent contractors and are solely responsible for their own taxes, insurance, permits, and compliance with applicable labor and business laws.
2. Age Requirements
You must be at least 18 years old to create a Worker account or use the YoZombie Platform to accept or perform gigs. By using YoZombie, you represent and warrant that you meet this age requirement and have the legal capacity to enter into binding contracts as an independent contractor.
If you are under 18, you are not permitted to register, access, or use the Platform in any capacity. YoZombie does not knowingly allow minors to participate in gig-related work or contractual activities.
By continuing to use the Platform, you affirm that you meet the age and legal capacity requirements set forth in these Terms.
3. Definitions
For clarity and consistency, the following definitions apply throughout these Terms of Service for Workers. Each defined term is capitalized when used in this Agreement. These definitions are meant to ensure that both YoZombie, L.L.C. and the Worker understand the terms governing their relationship and responsibilities when using the Platform.
“Worker” refers to any individual who registers for a Worker account and uses the YoZombie Platform to accept, perform, and complete gigs posted by a Business. Workers act as independent contractors and are not employees, agents, or representatives of YoZombie or any Business unless explicitly agreed otherwise under a separate written contract.
“Business” means any individual, company, or organization that registers a Business account on the YoZombie Platform to post, manage, or pay for gigs performed by Workers.
“Gig” refers to a short-term, temporary, or on-demand work opportunity posted by a Business and accepted by one or more Workers through the YoZombie Platform. Gigs may include, but are not limited to, general labor, event staffing, delivery, customer assistance, setup or teardown work, or other defined tasks.
“Platform” or “YoZombie Platform” means the proprietary software, mobile application, website, and associated services operated by YoZombie, L.L.C. to facilitate connections, communication, and payments between Businesses and Workers.
“Platform Fee” refers to the transparent flat fee charged to Businesses per Worker slot or per Gig, as disclosed at the time of posting. Platform Fees are retained by YoZombie, L.L.C. for platform maintenance and operations and do not constitute wages or compensation to Workers.
“Worker Pay” means the total amount agreed upon between the Worker and the Business for completing a Gig. Worker Pay is processed through Stripe Connect and disbursed directly to the Worker upon confirmed completion.
“Stripe Connect” refers to the third-party payment processing service integrated into the YoZombie Platform to manage payments, escrow, refunds, and disbursements between Businesses, Workers, and YoZombie. Use of Stripe Connect is governed by Stripe’s own terms and privacy policy.
“User Content” means any text, photos, videos, reviews, ratings, messages, or other materials uploaded, submitted, or transmitted by a Worker through the Platform.
“Account” means the registered Worker profile created to access and use the YoZombie Platform, which includes information such as the Worker’s name, contact details, payment information, and work history.
“You” or “Your” refers to the Worker accessing or using the YoZombie Platform under these Terms.
These definitions apply equally to singular and plural forms and include all grammatical variations. Any term not expressly defined in this section shall be interpreted according to its ordinary meaning within the context of this Agreement.

4. Relationship of the Parties
Independent Contractor Relationship
YoZombie operates solely as a neutral technology platform that connects independent Workers with Businesses for short-term, in-person gigs. Nothing in these Terms or in the use of the Platform shall be construed to create any relationship of employment, agency, partnership, or joint venture between YoZombie and any Worker or Business.
Each Worker acknowledges and agrees that:
Workers are independent contractors, not employees of YoZombie or the Businesses posting gigs.
YoZombie does not control or direct the manner or means by which Workers perform services.
Workers have full discretion to accept, reject, or complete gigs at their own pace and using their own judgment, subject only to the requirements of the specific gig description.
Businesses have no authority to act on behalf of YoZombie, and YoZombie has no authority to act on behalf of any Worker.
Separate Agreements
When a Worker accepts a gig posted by a Business, a separate, direct contractual relationship is formed between that Worker and the Business. YoZombie is not a party to that agreement and assumes no responsibility for the performance, quality, timeliness, or outcome of any services performed.
No Employment or Benefits
Workers engaged through the Platform are not entitled to employment benefits, workers’ compensation, unemployment insurance, or any other employee rights or privileges under local, state, or federal law. Workers are solely responsible for their own income reporting, tax payments, insurance coverage, and legal compliance related to their independent contractor status.
Taxes and Withholdings
YoZombie does not withhold or remit taxes on behalf of any Worker. All Workers are responsible for reporting and paying applicable taxes, including income and self-employment taxes, in accordance with federal, state, and local laws. Stripe Connect or the Businesses (depending on payment structure) may issue Form 1099-K or other tax documentation as required by law.
Acknowledgment
By using the Platform, you expressly acknowledge that YoZombie’s role is limited to facilitating introductions, communications, and payment processing via third-party providers. All employment, tax, and legal obligations rest solely with the contracting parties—the Worker and the Business.
5. Using the Platform (Gigs, Payment, and Stripe Escrow)
5.1 Overview
YoZombie provides a digital platform that allows independent Workers to browse, accept, and complete short-term, in-person work opportunities (“Gigs”) posted by local Businesses. Workers have full discretion to choose which Gigs to accept, when to work, and how to perform the services, subject only to the scope and expectations defined by the Business in the gig description.
YoZombie does not guarantee any minimum number of Gigs, income level, or ongoing work availability.
5.2 Accepting Gigs
When accepting a Gig through the Platform, you agree to:
Review all gig details, including pay rate, work scope, and schedule, before accepting.
Perform the agreed-upon services to the best of your ability and in accordance with the listed requirements.
Arrive on time, follow safety procedures, and communicate through the in-app messaging system as needed.
Each accepted Gig forms a direct contract between you (the Worker) and the posting Business. YoZombie is not a party to this contract and is not responsible for any obligations arising under it.
5.3 Payment and Escrow through Stripe Connect
All payments for completed Gigs are processed securely through Stripe Connect, YoZombie’s third-party payment processor.
The Business’s payment for your services (the “Worker Pay”) is held in escrow by Stripe until the Gig is marked complete by both parties.
Once both sides confirm completion, Stripe releases the Worker Pay directly to your connected bank account.
YoZombie does not hold, transfer, or access Worker funds at any time.
Stripe typically processes payouts within 2–5 business days following confirmation, depending on your bank.
5.4 Failed or Delayed Payments
YoZombie is not responsible for delays or failures caused by Stripe, your bank, or incorrect account information. If a payment dispute arises, funds may be temporarily held by Stripe Connect until YoZombie’s internal dispute process (Section 10) is completed.
5.5 Fraud and Policy Violations
YoZombie reserves the right to withhold or freeze payouts if there is reasonable suspicion of fraudulent activity, account misuse, or violation of these Terms. Confirmed cases of fraud or repeated policy violations may result in permanent suspension of your account.
5.6 Payment Records
You can view your payment history, completed gigs, and payout status at any time in your Worker dashboard. All payments are processed in U.S. Dollars (USD). YoZombie and Stripe Connect maintain transaction records as required by law and for dispute resolution purposes.
5.7 Taxes and Reporting
YoZombie does not deduct or remit taxes on your behalf. You are solely responsible for tracking and reporting income and paying applicable taxes. Stripe Connect may issue Form 1099-K or similar tax documents where required by law.
5.8 Non-Circumvention
You agree not to solicit or accept off-platform payments for active gigs or attempt to bypass the Stripe Connect payment system. Engaging in off-platform transactions related to YoZombie gigs may result in account suspension or termination.
Section 6. Worker Classification
Independent Contractor Status
All Workers using the YoZombie platform are classified as independent contractors, not employees, agents, or representatives of either YoZombie or any Business using the platform.
YoZombie provides technology that connects Businesses with independent Workers for short-term gigs. YoZombie does not hire, manage, or supervise Workers, and does not control how work is performed.
No Employment Relationship
Workers are not employees of YoZombie or of any Business posting gigs. Accordingly:
No wages, benefits, or insurance coverage are provided by YoZombie.
No federal, state, or local employment taxes are withheld or paid by YoZombie.
Workers are not entitled to workers’ compensation, unemployment insurance, or other employment-related benefits.
Each accepted gig represents a one-time, independent contract between the Worker and the Business.
Control of Work
Workers determine their own methods, tools, and schedules to complete gigs, subject only to the basic timing and scope described in the gig posting. Businesses may not impose control beyond legitimate coordination or safety requirements.
Right to Work for Others
Workers are free to perform services for any other company or client. There are no exclusivity requirements under these Terms.
Compliance and Classification
Businesses agree to treat all Workers as independent contractors and to comply with all applicable tax, labor, and employment classification laws. Misclassification is the sole responsibility of the Business.
Tax Responsibility
Worker obligations. Workers are solely responsible for reporting and paying all required income and self-employment taxes and maintaining accurate tax records.
Who issues tax forms. For payments made via Stripe Connect (Express), Stripe acts as the Third-Party Settlement Organization (TPSO) and automatically issues IRS Form 1099-NEC to Workers whose earnings meet IRS thresholds.
YoZombie’s role. YoZombie does not issue 1099 forms for any payments processed through Stripe Connect. If YoZombie ever makes a payment directly to a Worker outside the Stripe Connect flow (for example, promotional incentives or referral bonuses), YoZombie may issue an IRS Form 1099-NEC when legally required.
No withholding. YoZombie does not withhold or remit any taxes. Stripe may apply backup withholding if a Worker fails to provide valid tax information.
No Agency or Partnership
Nothing in these Terms creates a partnership, joint venture, franchise, or agency relationship between YoZombie, any Business, or any Worker. No party has authority to bind another.
7. Gigs, Payments, and Completion Terms
7.1 Overview
Workers can browse and accept short-term, in-person gigs (“Gigs”) posted by local Businesses through the YoZombie Platform. Each Gig includes clear details such as pay, location, schedule, and required skills. By accepting a Gig, you agree to complete the work as described and to maintain professionalism and safety during the engagement.
7.2 Gig Acceptance and Commitment
You are under no obligation to accept any Gig.
Once you accept, you agree to perform the listed work in good faith and complete it according to the Business’s description.
You may cancel a Gig before it starts, but repeated or last-minute cancellations (see Section 9) may result in account suspension.
If you fail to appear for an accepted Gig, you may forfeit payment and risk suspension.
Each accepted Gig forms a direct contract between you and the Business. YoZombie is not a party to that contract.
7.3 Payment Flow via Stripe Connect
All payments are handled exclusively through Stripe Connect (Express):
The Business pre-pays both your compensation (“Worker Pay”) and the YoZombie platform fee when posting a Gig.
Stripe holds your Worker Pay in escrow until the Gig is marked complete by both parties.
Once completion is confirmed, Stripe releases:
Your Worker Pay directly to your connected Stripe account.
The Platform Fee to YoZombie.
YoZombie never holds, transfers, or controls Worker funds directly. Stripe typically processes payouts within 2–5 business days of confirmation.
7.4 Confirmation of Completion
A Gig is considered complete when both you and the Business confirm completion in the YoZombie app. If one party does not confirm, YoZombie may review the activity log and messages to determine whether completion occurred, consistent with Section 10 (Dispute Resolution).
7.5 Refunds and Reversals
If a Business cancels a Gig within one (1) hour of its scheduled start time, you will receive a $15 late cancellation payment, automatically distributed through Stripe Connect. Otherwise, no refund or partial payment applies unless YoZombie determines a dispute warrants one.
7.6 Chargebacks and Disputes
If a Business initiates a chargeback after payment has been released, YoZombie will cooperate with Stripe in resolving the matter. Funds may be temporarily frozen during review. If Stripe reverses a payment due to fraud or policy violations, the Worker may be required to return the disputed amount.
7.7 Taxes and Reporting
You are solely responsible for reporting and paying all applicable taxes, including income and self-employment taxes. Stripe, as the Third-Party Settlement Organization (TPSO), issues Form 1099-NEC or 1099-K when legally required. YoZombie does not issue tax forms for payments processed through Stripe.
7.8 No Guarantee of Work
YoZombie is a neutral technology platform and does not guarantee any minimum number of gigs, earnings, or specific results. Gig availability depends on Business demand, Worker reliability, and marketplace activity.
7.9 Currency
All payments, fees, and refunds are processed in U.S. Dollars (USD). Currency conversions, if applicable, are governed by Stripe and your financial institution.
8. Platform Fee Structure
8.1 Fee Overview
YoZombie does not charge Workers any fees to browse, accept, or complete gigs. Each gig listed on the Platform already includes the full Worker Pay amount, which is the amount the Worker will receive upon completion (before any standard Stripe payout deductions, if applicable).
Platform Fees are paid by the Business posting the gig — not by the Worker.
8.2 Fee Transparency
The Business pays a flat Platform Fee per Worker slot at the time of posting:

These fees are charged to the Business to maintain the Platform, process payments securely, and fund referral bonuses and infrastructure costs.
8.3 No Worker Deductions
Workers receive 100% of the listed pay once a gig is completed and confirmed. YoZombie never deducts platform fees, referral payouts, or Stripe transaction costs from Worker Pay.
8.4 Timing of Payments
When a Business posts a gig:
Stripe Connect collects the Business’s pre-payment (Worker Pay + Platform Fee).
Worker Pay is held securely in escrow until completion.
Upon confirmation, Stripe automatically releases Worker Pay directly to the Worker’s Stripe account.
YoZombie does not hold Worker funds or act as a payment processor.
8.5 What the Platform Fee Covers
The Platform Fee — paid by Businesses — covers:
Secure payment processing through Stripe Connect (2.9% + $0.30 per transaction)
$2 referral reward for Workers who referred the completing Worker
Platform maintenance, messaging systems, and Firebase cloud infrastructure
Administrative and compliance costs
8.6 Tax Handling
Workers are independent contractors and are responsible for their own taxes. YoZombie and Stripe do not withhold taxes or make deductions from your pay. Stripe, as the Third-Party Settlement Organization (TPSO), will issue Form 1099-NEC or 1099-K if you meet IRS reporting thresholds.
8.7 Fee Changes (Notice)
If YoZombie updates its Platform Fee structure, such changes affect only Businesses. YoZombie will notify Workers if any changes indirectly impact how gigs are displayed or processed. Your pay rate per gig will remain clearly visible before you accept any gig.
9. Gig Cancellation Policy
9.1 Business-Initiated Cancellations
If a Business cancels a gig before it begins:
Before acceptance: The gig will simply disappear from the listings, and no payment or penalty applies.
After acceptance (more than one hour before start): You will be notified, and no payment will be made.
After acceptance (less than one hour before start): You will automatically receive a $15 late-cancellation payment as compensation for short notice.
All late-cancellation payments are processed securely through Stripe Connect.
YoZombie does not hold Worker funds and does not retain any portion of the late-cancellation payment.
9.2 Worker-Initiated Cancellations
If you cancel after accepting a gig:
You forfeit payment for that gig.
The Business will receive a refund for your slot.
Repeated last-minute or uncommunicated cancellations may result in account suspension or permanent removal from the Platform.
YoZombie may review your cancellation history to maintain fairness and reliability within the Platform.
9.3 YoZombie-Initiated Cancellations
YoZombie may cancel a gig if it detects:
Fraud, abuse, or safety concerns;
Violations of these Terms, applicable laws, or Stripe’s policies;
Technical issues or payment failures.
If a gig is canceled for reasons unrelated to your conduct, you may receive:
Full payment if work had already begun, or
A partial payment or credit if appropriate.
All refunds and payments are handled through Stripe Connect.
9.4 Refund and Payment Eligibility
Once both you and the Business confirm gig completion and payment is released, the transaction is final and non-refundable.
Refunds are only possible before payment release or through a verified dispute (see Section 10, Dispute Resolution).
9.5 Timing & Payment Effects
Refunds or cancellation payments are typically processed within 7 business days.
Stripe’s and your bank’s timelines may affect when payments appear.
Late-cancellation payments ($15) are automatically issued after confirmation.
9.6 Force Majeure and Emergency Cancellations
If a gig cannot proceed due to circumstances beyond anyone’s control—such as severe weather, natural disasters, or platform outages—YoZombie may cancel the gig and determine whether to issue payment or credits based on fairness and impact.
9.7 Limitation of Liability
YoZombie acts only as a neutral platform facilitating transactions.
Except where required by law, YoZombie is not responsible for losses, missed earnings, or damages resulting from cancellations, rescheduling, or payment delays.
All final decisions on refunds, credits, or policy enforcement rest with YoZombie.
10. Gig Completion & Dispute Resolution
10.1 Confirmation of Completion
A gig is considered complete when both you (the Worker) and the Business confirm it within the YoZombie app. Completion may occur through:
The Business marking the gig as “Completed,” or
Automatic completion after a defined verification period if no dispute is filed.
Once confirmed, Stripe Connect releases your payment directly to your connected account. Payments are final once released, except in cases later resolved through formal arbitration under Section 13 (Governing Law & Arbitration).
10.2 Filing a Dispute
You may file a dispute if you believe:
You performed the agreed work but were unfairly denied payment;
The Business misrepresented the job scope or pay terms; or
You experienced misconduct or unsafe conditions.
Disputes must be filed within 48 hours of the scheduled completion time using the in-app dispute form. Disputes or complaints submitted outside the Platform (e.g., email or phone) will not be considered valid under these Terms.
10.3 Evidence Submission & Review
You may provide evidence to support your claim, including:
Photos or videos of the completed work,
In-app message logs,
Time-stamped check-in or location verification records.
YoZombie will review all submissions objectively and may contact you for clarification. While under review, payments remain temporarily on hold within Stripe Connect’s escrow until a decision is made. All submitted materials may be stored securely for compliance, fraud prevention, or audit purposes.
10.4 Determination & Outcome
After evaluating evidence from both parties, YoZombie will determine the appropriate outcome based on fairness and available proof. Possible results include:
Full payment to the Worker if the work was completed as agreed;
Partial payment if the service was only partially performed; or
No payment if no meaningful work was completed or the terms were violated.
YoZombie’s determination is final within the Platform, unless arbitration is initiated under Section 13 (Governing Law & Arbitration).
10.5 Timing & Notification
YoZombie will make commercially reasonable efforts to resolve disputes within 10 business days after receiving all necessary information. If additional time is required (e.g., for further evidence or verification), YoZombie will notify both parties. You will receive updates and the final decision via the app and registered email. Once finalized, funds are either released to you, refunded to the Business, or split proportionally, depending on the decision. After resolution, the transaction is considered closed and binding within the Platform.
10.6 Arbitration Option
If you disagree with YoZombie’s final decision, you may pursue binding arbitration as outlined in Section 13 (Governing Law & Arbitration). YoZombie’s internal evidence and investigation record may be submitted in arbitration proceedings.
10.7 No Chargebacks
By using the YoZombie Platform, you agree not to initiate chargebacks or payment reversals through your financial institution or Stripe outside of the official dispute process. Unauthorized chargebacks may result in account suspension or termination.
11. Rating & Trust System
11.1 Overview
YoZombie uses a reputation-based “Trusted By” system to promote fairness, reliability, and accountability between Workers and Businesses. After each completed gig, both you and the Business answer a single question: “Would you work with this person again?” This system helps build a verified record of professionalism and reliability for all users on the Platform.
11.2 How Businesses Rate Workers
After every completed gig, the Business will select either “Yes” or “No.”
A “Yes” adds one Trusted by Businesses point to your profile.
A “No” remains private and is used only for internal review.
If you receive ten (10) or more “No” responses, your account may be flagged for administrative review or suspension. YoZombie requires Businesses to provide ratings that are honest, fair, and non-discriminatory.
11.3 How Workers Rate Businesses
You can also rate the Business after each completed gig by answering the same question: “Would you work with this Business again?”
A “Yes” adds one Trusted by Workers point to the Business profile.
A “No” is private but may trigger review if multiple Workers report unprofessional or unsafe conduct.
YoZombie may restrict or suspend Businesses that show repeated patterns of misconduct or poor behavior toward Workers.
11.4 Display & Data Retention
Your public profile displays the number of positive responses (e.g., “Trusted by 12 Businesses”). Only positive “Yes” responses are publicly visible. YoZombie retains anonymized rating data indefinitely for fraud prevention, trust analysis, and quality control.
When your account is deleted:
All personally identifiable information is permanently removed.
Anonymized rating data remains for platform analytics and integrity.
11.5 Prohibited Conduct
You agree not to manipulate or interfere with the trust system in any way. Prohibited actions include:
Creating fake gigs or colluding to boost ratings.
Offering incentives or rewards for positive ratings.
Leaving retaliatory, false, or discriminatory feedback.
Using multiple accounts to manipulate trust data.
YoZombie reserves the right to remove, edit, or disregard any rating found to violate these Terms or undermine the trust system.
11.6 Platform Oversight
All feedback represents user opinions, not verified statements. YoZombie does not independently verify ratings and is not responsible for any reputational or financial impact caused by user-generated feedback. YoZombie may, at its discretion, remove or anonymize any rating or comment found to be false, defamatory, discriminatory, or otherwise harmful to the Platform’s integrity.
12. Privacy & Data Use
12.1 Data Collection & Purpose
YoZombie collects only the information necessary to operate, improve, and secure the Platform. This may include:
Account details (name, email, phone number, identity verification);
Gig participation history, payments, and communication logs;
Device and activity data used for fraud prevention and service improvement.
All information is used solely for platform functionality, secure payments, dispute resolution, compliance, and performance monitoring. YoZombie does not sell or rent personal data to third parties under any circumstances.
12.2 Payment Information
All payment processing and related tax data are handled exclusively by Stripe Connect (Express). YoZombie never stores or accesses full card numbers, bank routing details, or taxpayer identification numbers.
Stripe’s systems are PCI-DSS compliant and independently responsible for safeguarding payment credentials and issuing any required IRS Form 1099-NEC or 1099-K documentation.
12.3 Data Hosting & Security
YoZombie operates using Firebase (Google Cloud Platform) for authentication, database, and hosting. All user data is encrypted in transit and at rest using industry-standard security controls.
YoZombie maintains strict administrative, technical, and physical safeguards to prevent unauthorized access or misuse of user data. Access to Worker data is restricted to authorized personnel bound by confidentiality agreements.
12.4 Communication & Messaging
All communication between Workers and Businesses must occur through the in-app messaging system. Sharing personal contact information or communicating outside the Platform is prohibited.
Messages are encrypted during transmission and stored securely for dispute resolution and service integrity. YoZombie does not actively monitor message content, except when necessary to investigate suspected fraud, abuse, or legal violations.
12.5 Data Sharing & Legal Disclosure
YoZombie may share limited data when required by law (e.g., court order or subpoena) or for legitimate operational reasons with vetted third-party service providers (e.g., hosting, analytics, fraud prevention). All partners operate under confidentiality agreements and data processing terms consistent with applicable laws.
12.6 Breach Notification
If a data breach occurs that may compromise user information, YoZombie will notify affected users within the timeframe required by law and will take all reasonable actions to mitigate potential risks.
12.7 User Rights & Data Requests
You may request access to, correction of, or deletion of your personal data by contacting support@yozombie.com.
Requests may be denied if data must be retained for:
Active or pending disputes or chargebacks,
Payment settlement or Stripe retention compliance, or
Fraud prevention, audit, or legal requirements.
12.8 Data Retention
YoZombie retains Worker data only as long as necessary to operate the Platform, fulfill legal requirements, and maintain system integrity. Once retention periods expire, inactive or deleted accounts are anonymized or securely erased in accordance with Firebase and Stripe policies.
12.9 Cross-Border Transfers & Compliance
Data may be stored or processed in the United States or other jurisdictions. YoZombie complies with all applicable data protection laws, including the California Consumer Privacy Act (CCPA) and the core principles of the General Data Protection Regulation (GDPR), as applicable to U.S.-based operations.
12.10 Limitation of Liability
While YoZombie takes reasonable precautions to protect user data, no system is completely immune from unauthorized access or breaches. To the fullest extent permitted by law, YoZombie disclaims liability for damages resulting from unauthorized access, loss, or alteration of user data, unless caused by YoZombie’s gross negligence or willful misconduct.
13. Account Deletion
13.1 Right to Request Deletion
Workers may request deletion of their YoZombie account at any time using the in-app deletion feature or by emailing support@yozombie.com.
Requests must come from the verified account email and may require identity confirmation to prevent unauthorized access or deletion.
13.2 Legal & Operational Limitations
YoZombie may delay or deny deletion until the following conditions are met:
All accepted gigs have been completed, canceled, or expired.
All payments, refunds, or disputes have been fully processed through Stripe Connect.
Any investigation, fraud review, or policy enforcement has concluded.
Applicable laws or regulations (including tax, accounting, or record-keeping requirements) permit removal.
If deletion is delayed, YoZombie will notify you and explain the reason.
13.3 Consequences of Deletion
Once deletion is processed:
Personally identifiable information (PII) not required for legal or financial purposes—such as profile photos, chat history, and marketing data—will be permanently deleted or anonymized within YoZombie’s Firebase system.
Minimal identifying data (e.g., name, email, and transaction reference ID) may be securely retained only for:
Payment reconciliation and Stripe audit compliance;
Record-keeping required under federal and state tax laws;
Maintaining trust and safety logs (e.g., dispute or fraud prevention).
Payment and tax data handled by Stripe Connect remain subject to Stripe’s own legal retention policies (typically 5–7 years).
Aggregated, non-personal analytics data may be preserved for system performance and statistical purposes.
After deletion, all account access is permanently revoked and cannot be restored.
13.4 Irreversible Nature of Deletion
Account deletion is final and cannot be undone. To use the Platform again, a new registration must be completed and verified.
13.5 Retention & Compliance Framework
YoZombie retains only the minimal identifying and transactional information required to operate the Platform and comply with:
Federal and state data-retention laws, including IRS record-keeping obligations under 26 U.S.C. § 6001;
Stripe Connect’s anti-fraud, financial, and audit obligations under the U.S. Bank Secrecy Act (BSA) and PCI-DSS;
Consumer-protection and privacy laws, including the FTC Act, CCPA, and other applicable state regulations.
Retained data (e.g., name, email, and transaction reference ID) exists solely to verify prior payments, resolve disputes, and maintain trust and safety.
All retained data is encrypted, access-restricted, and automatically deleted once statutory or operational retention periods expire.
14. Prohibited Uses
14.1 General Restrictions
You agree not to use the YoZombie Platform, Services, or related systems in any way that:
Violates any applicable law, regulation, or court order;
Infringes another party’s intellectual property, privacy, or publicity rights;
Attempts to bypass, disable, or interfere with YoZombie’s platform controls, payment systems, or verification processes;
Posts, transmits, or stores material that is defamatory, obscene, hateful, violent, harassing, or otherwise unlawful;
Engages in or facilitates fraudulent, deceptive, or abusive behavior, including misrepresentation of identity, falsifying time worked, or submitting false completion confirmations;
Uses bots, scripts, or automation to manipulate gigs, data, or system functions;
Attempts to access, copy, or disrupt any account, server, or database connected to the Platform;
Uploads or transmits any virus, malware, ransomware, or other harmful code.
14.2 AI and Automated Manipulation Restrictions
Workers must not:
Use artificial intelligence or automation tools to complete gigs, submit false evidence, or generate inauthentic messages or reviews;
Create or use “deepfake” materials or synthetic identities to impersonate others;
Use YoZombie data for AI training, dataset collection, or machine-learning purposes without prior written approval from YoZombie.
14.3 Payment Integrity
You may not:
Solicit or accept off-platform payments for gigs posted on YoZombie;
Circumvent or interfere with Stripe Connect’s escrow and disbursement process;
Submit false completion confirmations or manipulate payment status;
Collude with Businesses or other Workers to alter, inflate, or withhold payments.
14.4 Platform Integrity and Security
Reverse-engineering, copying, or commercial exploitation of YoZombie’s proprietary software, databases, or algorithms is strictly prohibited.
YoZombie may use automated systems and manual review to identify, investigate, and prevent prohibited or suspicious behavior.
14.5 Platform Monitoring and Limitation of Review
YoZombie does not actively monitor all Platform activity and is not responsible for user-generated content or misconduct. However, YoZombie reserves the right to review activity, suspend accounts, or cooperate with law enforcement when violations, fraud, or safety risks are identified.
14.6 Consequences of Violation
Violations of these Terms may result in:
Immediate account suspension or permanent termination;
Forfeiture of pending payouts, bonuses, or referral earnings; and
Legal action or referral to law enforcement authorities.
YoZombie retains sole discretion to determine whether conduct violates these Terms. All enforcement decisions are final.
15. Liability & Indemnification
15.1 No Employment Relationship
YoZombie is a technology platform that connects independent Workers with independent Businesses for short-term gigs.
YoZombie is not a party to any service contract between a Worker and a Business and does not supervise, direct, or control any work performed.
Accordingly, YoZombie shall not be liable for:
Any actions, omissions, or representations made by a Business or Worker; or
Any disputes, injuries, losses, or damages arising out of or related to engagements initiated through the Platform.
Workers acknowledge they are independent contractors, not employees, and are solely responsible for their own work decisions, tools, and tax obligations.
15.2 Platform “As Is” Disclaimer
To the fullest extent permitted by applicable law, YoZombie provides the Platform and Services “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise.
This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, title, accuracy, or non-infringement.
YoZombie makes no representation that:
The Platform will operate without interruption or error;
All job postings or communications are truthful, complete, or lawful;
Any specific number of gigs or Businesses will be available; or
Any Worker will achieve a particular income, rating, or employment outcome.
15.3 Limitation of Liability
To the maximum extent permitted by law:
YoZombie’s total cumulative liability to any Worker for any claims arising out of or relating to these Terms, the Platform, or any transaction between users shall not exceed one hundred dollars ($100 USD).
YoZombie shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of income, data, goodwill, or work opportunities, even if advised of the possibility of such damages.
These limitations apply regardless of the legal theory asserted, including negligence, contract, or tort.
15.4 Indemnification by Worker
To the fullest extent permitted by law, the Worker agrees to defend, indemnify, and hold harmless YoZombie, its affiliates, officers, directors, employees, and agents from and against all claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from or related to:
Any violation of these Terms by the Worker;
Any negligent, reckless, or intentional act or omission during a gig;
Any dispute between the Worker and a Business;
Any claim that the Worker’s conduct or posted materials violated applicable law or third-party rights.
YoZombie reserves the right to assume exclusive defense and control of any matter otherwise subject to indemnification by the Worker, and the Worker agrees to cooperate fully with YoZombie in such defense.
15.5 Survival
The obligations under this Section shall survive the termination, suspension, or expiration of these Terms or the Worker’s account and remain in effect for as long as necessary to resolve any pending claims or disputes.
16. Governing Law & Arbitration
16.1 Governing Law
These Terms, and any dispute, claim, or controversy arising out of or relating to them—including their interpretation, performance, breach, or validity—shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict-of-law principles.
All relationships, transactions, and activities conducted through the YoZombie Platform are deemed to have occurred in Anne Arundel County, Maryland, regardless of where the parties are physically located.
16.2 Agreement to Binding Arbitration
Except where prohibited by law, all disputes, claims, or controversies arising out of or relating to these Terms, the Platform, or any relationship between the Worker, a Business, or YoZombie shall be resolved exclusively through binding arbitration conducted in Anne Arundel County, Maryland, under the rules of the American Arbitration Association (AAA) then in effect.
By agreeing to these Terms, you waive your right to a trial by jury and waive participation in any class, collective, or representative action.
16.3 Arbitration Procedure
Arbitration shall be conducted by a single neutral arbitrator mutually agreed upon by the parties, or, if no agreement is reached, appointed in accordance with AAA rules.
Each party shall bear its own costs and attorney’s fees, unless the arbitrator determines otherwise.
The arbitrator’s decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.
16.4 Class Action Waiver
All claims must be brought in an individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding.
No arbitration or proceeding may be joined or consolidated with another without YoZombie’s prior written consent.
16.5 Small Claims Exception
Nothing in this Section prevents either party from bringing an individual claim in small claims court in Anne Arundel County, Maryland, provided the claim falls within the court’s monetary limits.
16.6 Equitable Relief
Notwithstanding the arbitration agreement, YoZombie may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property, trade secrets, or prevent unauthorized access, misuse, or data theft involving the Platform.
16.7 Survival
This Section shall survive termination, suspension, or deletion of a Worker’s account and shall continue to govern any dispute a
17. Updates to Terms
17.1 Right to Modify
YoZombie reserves the right to update, modify, or replace any portion of these Terms at any time to reflect changes in operations, technology, applicable laws, or regulatory requirements.
Any updates will take effect 30 days after notice is provided to Workers through the Platform, by email, or other reasonable communication channels.
17.2 Notification of Changes
All updates will be posted within the Platform and identified with a “Last Updated” date.
If changes materially affect your rights or obligations, YoZombie will provide direct notice, which may include an in-app alert, banner, or acknowledgment prompt before continued use.
17.3 Continued Use Constitutes Acceptance
By continuing to use the Platform after the effective date of any updated Terms, you agree to be bound by the revised Terms.
If you do not agree to the changes, you must discontinue use of the Platform and may delete your account in accordance with Section 13 (Account Deletion).
17.4 Regulatory Compliance Updates
YoZombie may implement updates immediately and without prior notice if required by law, court order, or government directive.
In such cases, YoZombie will still provide notice to Workers as soon as reasonably practicable.
17.5 Historical Recordkeeping
For transparency and compliance, YoZombie maintains a historical record of all prior versions of these Terms for a minimum of two (2) years.
Upon written request, Workers may obtain a copy of any previous version applicable to their use of the Platform during a specific period.
18. Force Majeure
18.1 Definition
YoZombie shall not be liable or deemed in default for any failure or delay in performing its obligations under these Terms when such failure or delay results from circumstances beyond its reasonable control, including but not limited to:
Acts of God or natural disasters (e.g., fire, flood, earthquake, storm, hurricane, or other severe weather);
Epidemics, pandemics, or public health emergencies;
Acts of war, terrorism, or civil unrest;
Power outages or telecommunications failures;
Strikes, labor disputes, or shortages of materials;
Failures of third-party service providers (including Stripe, Google, or Firebase);
Government orders, restrictions, or regulatory actions;
Internet or hosting interruptions or system failures beyond YoZombie’s control.
18.2 Effect of Force Majeure Event
During a Force Majeure event:
YoZombie’s obligations will be suspended for the duration of the event.
Any affected deadlines or service timelines will be extended for a reasonable period following the end of the event.
YoZombie will make commercially reasonable efforts to resume normal operations as soon as practicable.
18.3 Notification
YoZombie will notify Workers through the Platform or via email as soon as reasonably possible after becoming aware of a Force Majeure event that materially impacts platform functionality or payment processing.
18.4 Limitation
Nothing in this Section excuses or delays payment obligations already earned and confirmed prior to the Force Majeure event.
All payments processed through Stripe remain subject to Stripe’s operational and regulatory frameworks.
19. Severability, Waiver, Entire Agreement & Electronic Consent
19.1 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable.
If modification is not possible, the provision shall be deemed severed, and the remaining provisions shall continue in full force and effect.
19.2 No Waiver
Failure or delay by YoZombie in exercising any right, remedy, or power under these Terms shall not operate as a waiver thereof.
Any waiver must be in writing and signed by an authorized representative of YoZombie to be effective.
19.3 Entire Agreement
These Terms, along with the Privacy Policy, Stripe Connect Terms, and any additional platform policies or guidelines referenced herein, constitute the entire agreement between you (the Worker) and YoZombie, L.L.C. regarding your use of the Platform.
All prior or contemporaneous oral or written communications, understandings, or agreements are hereby superseded.
Any terms proposed by the Worker that are inconsistent with these Terms shall be void and of no effect.
19.4 Assignment
You may not assign, transfer, or sublicense your rights or obligations under these Terms without YoZombie’s prior written consent.
YoZombie may freely assign these Terms or any rights hereunder to any affiliate, successor, or acquirer of the business.
19.5 Electronic Consent & Communications
By using the YoZombie Platform, you consent to conduct all transactions and communications electronically.
Electronic notices, agreements, disclosures, and other communications satisfy any legal requirement that such communications be in writing.
By clicking “I Agree,” creating an account, or continuing to use the Platform, you provide your electronic signature and consent to these Terms under the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN Act)and Maryland Uniform Electronic Transactions Act (Md. Code, Commercial Law §21-101 et seq.).
19.6 Survival
All provisions of these Terms that by their nature should survive termination—including indemnification, limitations of liability, governing law, arbitration, and this Section—shall survive the termination of your account or use of the Platform.
